Terms of Use / End User Licence Agreement

Cloudland Books Backend (the "Application") is internal software built and operated by
Cloudland Capital ("Cloudland") for its own use. These terms govern that use.
1. Who may use it
The Application is licensed for use by Cloudland Capital only — its administrator and
personnel acting on its behalf. It is not sold, licensed, distributed or made available to
the public, to customers, or to any other organization. There is no sign-up and no fee.
2. What it does
The Application reads accounting data from the QuickBooks Online companies Cloudland
owns and manages and writes reports to Cloudland's own server. Access is read-only: the
Application cannot create, modify or delete records in QuickBooks.
3. Ownership of the data
All accounting data accessed by the Application belongs to Cloudland. The Application
claims no rights over it. Cloudland is responsible for the accuracy of its own books and
for any decisions taken on the basis of reports the Application produces.
4. No resale or redistribution
Data obtained through the Application is not sold, licensed, published or otherwise
transferred to third parties, and the Application itself is not redistributed.
5. Relationship with Intuit
The Application is not affiliated with, endorsed by, or sponsored by Intuit Inc. Intuit
is not a party to these terms. Use of QuickBooks Online remains subject to the separate
agreement between Cloudland and Intuit, and the Application is operated in accordance with
Intuit's developer terms. QuickBooks is a trademark of Intuit Inc.
6. Availability
The Application is internal software provided without any service commitment. It may be
changed, interrupted or withdrawn at any time.
7. Disclaimer of warranty
The Application is provided "as is", without warranties of any kind,
express or implied, including any implied warranties of merchantability, fitness for a
particular purpose, accuracy, or non-infringement. Its output is not accounting, tax,
investment or legal advice.
8. Limitation of liability
To the fullest extent permitted by law, no liability is accepted for any indirect,
incidental, special or consequential damages, or for any loss of data, profits or business,
arising out of the use of or inability to use the Application.
9. Termination
The connection may be ended at any time from QuickBooks → Settings → Apps,
which immediately revokes the Application's access. Stored credentials are then removed from
the server.
10. Governing law
These terms are governed by the laws of the United States and of the state in which
Cloudland Capital maintains its principal place of business, without regard to conflict of
law rules.
